Terms of Service — CleverQM Complete

1. Scope

These terms apply in addition to CleverQM’s general terms for the product “CleverQM Complete” (subscription). In case of conflicts, these product terms prevail.

2. Service description

(1) CleverQM Complete provides access to currently available CleverQM modules (incl. Hazardous Substances, Training) and to additional standard modules once released and enabled for Complete customers. (2) At the time of purchase, CleverQM Complete may not yet be a full QM system. The scope evolves over time.

3. Standard scope / Fair use

(1) Services are provided within a standard scope designed for typical medical and dental practices. (2) Fair use: Unusually high effort (e.g., extensive special handling, an above-average number of edge cases, repeated off-schedule rush requests) may, after prior coordination, be offered as a premium/special service or billed separately.

4. Exclusions

Not automatically included, in particular:

  • individual on-site special services beyond the agreed standard scope,
  • custom projects/adaptations,
  • third-party, license, or usage costs (e.g., external tools/content),
  • services explicitly marked as “Premium” (Complete customers receive a benefit such as a discount or preferred conditions; details in the offer/checkout).

5. On-site visits

(1) On-site visits are scheduled by agreement. Scope and duration depend on practice size, locations, and actual effort. (2) Additional on-site days/multiple visits may be offered as special services if not covered by the standard scope.

6. Pricing & quarterly entry prices (new customers)

(1) The entry price for new customers may increase quarterly. The applicable entry price is shown in checkout. (2) Entry advantage: Customers keep their entry advantage as long as the subscription remains active without interruption.

7. Advantage expires on default / interruption / downgrade

(1) In case of payment default, subscription interruption, downgrade, or reactivation after cancellation, the then-current entry price applies and any prior advantage expires. (2) Exceptions require an explicit special agreement.

8. CPI-based price adjustment (inflation/deflation)

(1) On Jan 1st, the price may be adjusted based on the consumer price index (CPI). (2) An adjustment occurs only if

  • the index change vs. the previous year is at least 5%, or
  • the calculated adjustment would be at least €20 per month. Otherwise, the price remains unchanged. (3) The new price is rounded up to the next full €10. (4) Adjustments can apply both directions (increase or decrease). (5) Adjustments are announced at least 30 days before taking effect.

9. Rounding & VAT

All prices are incl. VAT. The final price is rounded up to the next full €10 according to the rounding rule.

10. Term & cancellation

(1) The subscription can be cancelled monthly, unless stated otherwise in checkout. (2) Cancellations become effective at the end of the current billing period.

11. Availability, changes, new modules

(1) CleverQM may improve, adjust, or replace features as long as core functionality within the standard scope is maintained. (2) New modules become part of the standard scope once released and enabled, unless marked as Premium.

12. Customer cooperation

Customers provide required information (e.g., practice data, locations, staff roles) and enable agreed appointments.

13. Data protection

CleverQM does not require patient data for core services. Customers must not enter patient data unless explicitly intended.

14. Liability

(1) CleverQM is liable as required by law unless limited herein. (2) For minor negligence, CleverQM is liable only for breach of essential obligations and limited to foreseeable typical damages. (3) For inspections/authority decisions: CleverQM supports documentation and proofs; no guarantee of outcomes is provided.

15. Final provisions

Governing law, venue, and severability follow CleverQM’s general terms unless explicitly deviating here.
